1. Acceptance of Terms

By accessing or using AI-Contract, you confirm that:

• You are at least 18 years of age.
• You have the legal authority to enter into this agreement on behalf of yourself or the organisation you represent.
• Your use of the Service will comply with all applicable laws and regulations.
• You have read and agree to our Privacy Policy, which is incorporated into these Terms by reference.

2. Description of Service

AI-Contract is a cloud-based software-as-a-service (SaaS) platform that allows users to:

• Upload legal documents (PDF, DOCX) for AI-powered analysis.
• Receive automated risk identification, clause extraction, and plain-English summaries.
• Interact with documents via a Q&A chat interface powered by Anthropic's Claude AI.
• Export analysis reports as PDF documents (Starter plan and above).
• Manage team members and collaborate on document reviews (Team plan and above).

The Service is intended as an informational and productivity tool. It is not a substitute for qualified legal advice. We are not a law firm and nothing generated by the Service constitutes legal advice.

3. User Accounts

3.1 Account Registration

You must create an account to use the Service. You agree to provide accurate and complete information and to keep your account details up to date. Each account is for a single user unless you are on a Team or Enterprise plan.

3.2 Account Security

We use passwordless authentication via magic links. You are responsible for keeping access to your email account secure. You must notify us immediately at support@ai-contract.net if you suspect unauthorised access to your account.

3.3 Account Termination

You may close your account at any time by contacting us. We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for more than 24 months.

4. Acceptable Use

You agree not to use the Service to:

• Upload documents that contain illegal content or that you do not have the right to process.
• Attempt to reverse-engineer, decompile, or extract AI model weights or proprietary algorithms.
• Circumvent any access controls, usage limits, or security measures.
• Use the Service to develop competing products or services.
• Share account credentials with individuals outside your authorised team seats.
• Upload malicious files, viruses, or content designed to disrupt the Service.
• Engage in automated scraping, data mining, or bulk API access beyond what is expressly permitted on your plan.
• Violate any applicable law, regulation, or third-party right including intellectual property rights.

We reserve the right to investigate suspected violations and to suspend or terminate access without notice where we determine a violation has occurred.

5. Subscriptions and Billing

5.1 Plans and Pricing

AI-Contract offers the following subscription plans:

Pricing is subject to change. We will provide at least 30 days' notice of any price increase, effective at your next billing cycle.

5.2 Billing Cycle

Paid plans are billed monthly in advance. Your subscription renews automatically on the same date each month unless cancelled. All prices are in USD and exclude applicable taxes.

5.3 Document Credits

Each plan includes a monthly document credit allowance. Credits reset on your billing renewal date and do not carry over to the next month. Uploading a document consumes one credit at the time of upload. Re-analysing the same document does not consume an additional credit.

5.4 Failed Payments

If a payment fails, we will retry the charge up to three times over seven days. If payment remains unsuccessful, your account will be downgraded to the Free plan and access to paid features will be suspended until payment is resolved.

5.5 Taxes

You are responsible for all applicable taxes, duties, or levies imposed by your jurisdiction. Where required by law, we may collect and remit taxes on your behalf.

6. Cancellation and Refunds

6.1 Cancellation

You may cancel your subscription at any time from your account Settings page. Cancellation takes effect at the end of your current billing period. You will retain full access to paid features until the period ends, after which your account will be downgraded to the Free plan. No partial refunds are issued for unused days in a billing period.

6.2 Refunds

We offer a 7-day money-back guarantee for new paid subscriptions. If you are unsatisfied within your first 7 days on a paid plan, contact us at support@ai-contract.net for a full refund. Refund requests made after 7 days will be considered on a case-by-case basis.

6.3 Termination by Us

We may terminate or suspend your subscription immediately if you breach these Terms or engage in fraudulent activity. In such cases, no refund will be issued.

7. Your Content and Data

7.1 Ownership

You retain full ownership of all documents, data, and content you upload to AI-Contract ("Your Content"). We claim no intellectual property rights over Your Content.

7.2 Licence to Us

By uploading content, you grant us a limited, non-exclusive, royalty-free licence to store, process, and analyse Your Content solely for the purpose of providing the Service to you. We do not use Your Content for any other purpose, including training AI models.

7.3 Your Responsibility

You represent and warrant that you have all necessary rights, permissions, and consents to upload and process the documents you submit. You are solely responsible for ensuring that uploading and processing your documents complies with any applicable confidentiality agreements or data protection obligations.

7.4 Data Export and Deletion

You may delete your documents and analyses at any time from the dashboard. Upon account closure, we will delete all of Your Content within 30 days, except where retention is required by law.

8. AI-Generated Content Disclaimer

• AI analysis may contain errors, omissions, or inaccuracies.
• Legal requirements vary by jurisdiction — outputs may not reflect laws applicable to your location.
• Always have important contracts reviewed by a qualified lawyer before signing.
• AI-Contract expressly disclaims liability for any decisions made based on AI-generated outputs.

9. Intellectual Property

9.1 Our IP

The AI-Contract platform, including its design, code, branding, trademarks, and all content created by us (excluding Your Content), is owned by or licensed to AI-Contract and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our express written permission.

9.2 Feedback

If you submit suggestions, ideas, or feedback about the Service, you grant us an irrevocable, royalty-free licence to use that feedback for any purpose without obligation to you.

10. Availability and Uptime

We aim to provide a reliable service but do not guarantee uninterrupted availability. Planned maintenance, third-party service outages, or circumstances beyond our control may result in downtime. We will endeavour to provide advance notice of planned maintenance.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time. Where a feature used by you is permanently discontinued, we will provide reasonable notice.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• AI-Contract and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total aggregate liability to you for any claims arising from your use of the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100.
• We are not liable for any loss or damage arising from reliance on AI-generated analysis, failure of third-party services, data loss caused by factors outside our reasonable control, or unauthorised access to your account.

Some jurisdictions do not allow the exclusion or limitation of certain liabilities. In such cases, our liability will be limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless AI-Contract and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service in violation of these Terms; (b) Your Content; or (c) your violation of any applicable law or third-party rights.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or free of viruses or other harmful components.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Any dispute arising from or in connection with these Terms shall first be attempted to be resolved amicably through good-faith negotiations. If not resolved within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Singapore.

If you are a consumer located in a jurisdiction with mandatory consumer protection laws, those laws may provide you with rights that cannot be waived by these Terms.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription before the effective date.

16. General

• Entire agreement — These Terms and our Privacy Policy constitute the entire agreement between you and AI-Contract regarding the Service.
• Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force.
• Waiver — Failure to enforce any right or provision of these Terms shall not constitute a waiver of that right.
• Assignment — You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations freely.
• Force majeure — We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, internet outages, or acts of government.
